Agreement to Terms

These Terms of Service ("Terms") govern your use of AdzyMatch, a platform connecting brands with influencers in the MENA region ("Platform," "Service," "we," "our," or "us").

By accessing or using our Platform, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access the Service.

Platform Description

AdzyMatch is a discovery platform that:

  • Enables brands to search and discover influencers in Jordan, UAE, and Saudi Arabia
  • Allows influencers to create profiles showcasing their content and audience
  • Facilitates direct communication between brands and influencers
  • Provides tools for managing collaborations

Important: AdzyMatch is a discovery and connection platform only. We do not handle payments, escrow services, or mediate collaboration agreements. All financial arrangements and contractual agreements are made directly between brands and influencers.

User Accounts

Registration

To use certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information as needed
  • Maintain the security of your account credentials
  • Be responsible for all activities under your account
  • Notify us immediately of any unauthorized access

Account Types

  • Brand Accounts: For businesses seeking to collaborate with influencers
  • Influencer Accounts: For content creators with verified Instagram accounts

Age Requirement

You must be at least 18 years old to create an account and use our Platform.

User Responsibilities

Brand Responsibilities

Brands using our Platform agree to:

  • Communicate professionally and respectfully with influencers
  • Honor agreements made with influencers
  • Comply with advertising disclosure regulations
  • Not misrepresent their company or intentions

Influencer Responsibilities

Influencers using our Platform agree to:

  • Provide accurate information about their audience and engagement
  • Maintain ownership and control of their social media accounts
  • Deliver agreed-upon content and services to brands
  • Comply with FTC disclosure guidelines and local regulations
  • Not inflate or falsify their statistics

Prohibited Conduct

You may not:

  • Violate any applicable laws or regulations
  • Infringe upon intellectual property rights
  • Upload malware, viruses, or harmful code
  • Harass, abuse, or harm other users
  • Impersonate any person or entity
  • Use automated systems (bots, scrapers) without permission
  • Attempt to gain unauthorized access to the Platform
  • Spam or send unsolicited messages
  • Purchase or sell fake followers or engagement
  • Circumvent any Platform features or restrictions

Content and Intellectual Property

Your Content

You retain ownership of content you post on the Platform. By posting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content for Platform operations.

Our Content

The Platform, including its design, features, and functionality, is owned by AdzyMatch and protected by copyright, trademark, and other laws.

Social Media Data

Instagram data displayed on our Platform is provided through official APIs and subject to Instagram's terms of service.

Platform Access and Availability

We strive to keep the Platform accessible 24/7, but we do not guarantee uninterrupted access. We may:

  • Suspend or terminate the Platform for maintenance
  • Modify or discontinue features at any time
  • Impose limits on certain features or access

Direct Relationships Between Users

AdzyMatch facilitates connections but is not a party to any agreements between brands and influencers. We are not responsible for:

  • The quality, timing, or legality of services provided by influencers
  • Payment disputes or non-payment
  • Breach of contract between parties
  • The accuracy of user-provided information
  • The outcome of collaborations

All agreements, negotiations, and payments occur directly between brands and influencers without our involvement.

Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

  • The Platform will be error-free or uninterrupted
  • Defects will be corrected
  • The Platform is free of viruses or harmful components
  • Results from using the Platform will meet your requirements
  • User-provided information is accurate or reliable

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADZYMATCH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA, OR OPPORTUNITIES, ARISING FROM:

  • Your use or inability to use the Platform
  • Unauthorized access to your account or data
  • Actions or content of other users
  • Collaborations facilitated through the Platform

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS, IF ANY.

Indemnification

You agree to indemnify and hold AdzyMatch harmless from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your use of the Platform
  • Content you post on the Platform

Termination

We may terminate or suspend your account immediately, without notice, for any reason, including:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Abuse of other users
  • Extended inactivity

You may terminate your account at any time through your account settings.

Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall be resolved through:

  • Informal negotiation first
  • Binding arbitration if negotiation fails
  • Courts in [Your Jurisdiction] for any matters not subject to arbitration

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes by email or through the Platform. Continued use of the Platform after changes constitutes acceptance of the new Terms.
